By creating an account or using FileSurf (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and FileSurf ("we", "us", "our").
We may update these Terms from time to time. When we do, we'll update the "Last updated" date above. Continued use of the Service after changes constitutes acceptance of the revised Terms. For material changes, we'll notify you by email.
FileSurf is a personal AI workspace. It provides a sandboxed environment where you can upload files, run AI agents, and interact with your data through a chat interface. Each user gets an isolated container with dedicated storage, CPU, and memory allocations depending on their plan.
The Service is provided on an invite-only or subscription basis. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practical.
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.
You are responsible for maintaining the security of your account. We use magic link authentication — if someone gains access to your email, they can access your account. Notify us immediately at [email protected] if you suspect unauthorized access.
Accounts are personal and non-transferable. You may not share your account with others or create accounts on behalf of others without permission.
FileSurf offers monthly subscription plans. Current pricing is displayed on the pricing page. Plans differ in storage, compute allocation, and monthly AI token allowance.
Subscriptions are billed monthly in advance via Stripe. Your subscription renews automatically on the same date each month. You authorize us to charge your payment method on file for all fees when due.
Where a free trial is offered, it begins on the date you subscribe. At the end of the trial period, your subscription converts to a paid plan and your payment method is charged unless you cancel before the trial ends.
In addition to the monthly token quota included with your plan, you may purchase additional AI credits at any time. Credits are consumed after your monthly quota is exhausted. Credits do not expire while your subscription is active. Credits are non-refundable once purchased.
You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period — you retain full access until then. We do not offer prorated refunds for partial billing periods.
All subscription fees and credit purchases are non-refundable except where required by applicable law, or at our sole discretion in exceptional circumstances. If you believe a charge was made in error, contact us at [email protected] within 14 days.
We may change subscription pricing with at least 30 days' notice by email. Continued use after the effective date constitutes acceptance of the new pricing.
Each plan includes a monthly AI token allowance. Token quotas are hard limits — when your quota is exhausted the Service will not process further AI requests until your quota resets at the start of your next billing period, or until you purchase additional credits.
Quotas reset monthly on your billing date. Unused quota does not carry over to the next period.
We reserve the right to apply rate limiting to prevent abuse, protect service availability, and ensure fair usage across all users. Rate limits operate as a sliding window and do not reduce your overall monthly quota.
Token allowances are calculated based on AI model pricing. Because model costs fluctuate, your effective token allowance may be adjusted when model prices change materially. We will notify you of significant reductions.
You retain ownership of all files, data, and content you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Service to you.
You are solely responsible for Your Content. You represent and warrant that you have all rights necessary to upload Your Content and that it does not violate any law or third-party rights.
We do not claim ownership of Your Content and we will not use it for any purpose beyond operating the Service (including providing it to AI model providers to generate responses, as described in Section 7).
The Service uses third-party AI model providers to process your requests. Your messages and file content (or relevant excerpts thereof) are transmitted to these providers to generate AI responses. Current providers include AWS Bedrock, Fireworks AI, and Cerebras. Our provider selection may change as the AI landscape evolves.
We configure all providers with zero data retention: your prompts and completions are not stored, logged, or used for model training by the providers. However, you should not upload content that you would not be comfortable transmitting to a third-party API (for example, highly sensitive personal data, classified material, or content subject to strict confidentiality obligations).
AI-generated responses may be inaccurate, incomplete, or misleading. You are responsible for verifying any AI output before relying on it. We do not warrant the accuracy or fitness for purpose of any AI-generated content.
You agree not to use the Service to:
Violation of this section may result in immediate suspension or termination of your account.
While your subscription is active, your files and data are stored on your dedicated storage allocation.
When your subscription ends (whether by cancellation or termination), your data is retained for a short grace period to allow for reactivation, then permanently deleted. We back up your data to secure object storage before deletion. Once deleted, data cannot be recovered.
You may request deletion of your account and data at any time by contacting [email protected]. We will process deletion requests within a reasonable timeframe.

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required to do so by law. In cases of termination for cause, we are not obligated to provide a refund.
We may also discontinue the Service entirely. If we do, we will provide at least 30 days' notice by email and will refund any unused prepaid subscription amounts for the period beyond the discontinuation date.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific uptime. We will make reasonable efforts to maintain availability and notify users of planned downtime.
AI-generated content is provided for informational and productivity purposes only. It does not constitute professional advice (legal, medical, financial, or otherwise). You assume all risk from reliance on AI output.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FILESURF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the fullest extent permitted by law.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
